Terms and Conditions

Effective Date: January 24, 2025

These Terms and Conditions (“Terms”) are entered into by and between Savvy Agent Pro, located at P.O. Box 178 North Chili, NY 14514, and the entity or individual agreeing to these Terms (“Client”). By using Savvy Agent Pro services (“Services”), Client agrees to these Terms, which govern the use of the Services provided. If Client does not agree, they should not use the Services.

1. Provision of Services

1.1 Services Offered:

Savvy Agent Pro will provide access to its business automation platform, including lead generation tools, customer relationship management (CRM), review management, and AI-powered assistance. These Services are detailed in the Client’s Order Form or Statement of Work (“Order Form”). The onboarding process may take up to 4 weeks, requiring Client’s timely participation to ensure successful implementation. Delays caused by Client will not justify non-payment or termination of the agreement.1.2 Third-Party Integration:

The Services may integrate with third-party platforms (e.g., Google, Facebook, LinkedIn, etc.). Client acknowledges that Savvy Agent Pro is not responsible for changes, policies, or performance of these third-party platforms. Client’s use of third-party platforms is subject to their respective terms and conditions.1.3 Generated Content:

Any data generated by the Services, including but not limited to reports or analytics, is for Client’s internal use only. Modifications or redistribution of this data require prior written approval from Savvy Systems AI.1.4 Compliance:

Client agrees to adhere to applicable regulations, including those related to reviews, data privacy, and AI usage. Activities such as review gating, generating fake reviews, or violating third-party terms are prohibited.

2. Fees and Payment

2.1 Fees:

Client agrees to pay all fees outlined in their Order Form. Payment is due within 30 days of invoicing unless otherwise specified. Fees exclude applicable taxes, which Client is responsible for.2.2 Late Payments:

Late payments may incur a fee of 1.5% per month or the maximum rate permitted by law. Services may be suspended for non-payment after 30 days.2.3 Auto-Renewal:

Unless otherwise specified, subscriptions will auto-renew for the same term. Written notice of non-renewal must be provided 90 days prior to the renewal date.

3. Proprietary Rights

3.1 Ownership:

Savvy Agent Pro retains all rights, title, and interest in its platform, Services, and intellectual property. Client is granted a limited, non-transferable license to use the Services during the agreement term.3.2 Client Data:

Client retains ownership of data input into the platform (“Client Data”). Savvy Agent Pro may use aggregated or anonymized Client Data for internal purposes but will not sell Client Data to third parties.

4. Limitations of Liability

4.1 Warranty Disclaimer:

Savvy Agent Pro provides the Services “as is” and disclaims all warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.4.2 Liability Cap:

Savvy Agent Pro's liability for any claim will not exceed the fees paid by Client in the 12 months preceding the claim.

5. Term and Termination

5.1 Term:

These Terms remain effective as long as any Order Form is active.5.2 Termination:

Either party may terminate for material breach if not remedied within 30 days of written notice. Upon termination, Client must pay for all Services rendered up to the termination date.

6. Privacy and Security

6.1 Privacy Policy:

Savvy Agent Pro will handle Client Data in accordance with its Privacy Policy.6.2 Data Protection:

Savvy Agent Pro maintains industry-standard security measures to protect Client Data. In the event of a data breach, prompt notice will be provided to Client.

7. Miscellaneous

7.1 Force Majeure:

Savvy Agent Pro is not liable for delays or failure to perform due to circumstances beyond its control, including natural disasters, acts of government, or internet disruptions.7.2 Governing Law:

These Terms are governed by the laws of New York State. Any disputes will be resolved in the courts located in Rochester, NY.7.3 Amendments:

Savvy Agent Pro may update these Terms periodically. Clients will be notified of material changes.7.4 Notices:

Notices must be sent in writing to the addresses specified in the Order Form.

8. Free Trials

8.1 Trial Terms:

Free trials are for a specified duration and limited to non-commercial use. At the end of the trial, access will terminate unless a paid subscription is initiated.
